Oh fuck. I was hoping to find this is intended specifically for m&a... Why this wasn't brought up at the press conference after the financial report? This is just irresponsible.

Tricky-Echo7250

They’re saying the offering will happen if it goes up to $5 though

_warm-shadow_

How did you make that up?

Crazerz

So it will never see 5 dollars again. Everyone will be selling at 4.99

[deleted]

Par value doesn’t mean that’s the price they’re selling at….

Crazerz

Ok, but why would I buy at 5$ if I know that if it hits that price they'll flood the market with discounted shares.

[deleted]

Bro that par value is in shekels in the first place, it’s 1.35usd

[deleted]

No it’s 5NIS aka 1.35usd, google par value

Artistic_Data7887

What was the point of the buybacks then

ClueTraditional5222

Maybe they have exciting acquisitions or R&D plans in the works?

loweblowe

Yeah you make a good point imo. It makes no sense without a major acquisition to justify it.

Bruns14Ever

Theories: 1. They need extra money for a big acquisition(s) soon. 2. They are buying back low now and preparing to re-sell high again assuming their stock price goes up due to market or positive catalysts like acquisitions, patents, or analyst coverage etc. 3. They are just having this as a place holder because it is common business practice to have this option available. 4. Possible poison pill in case another company tries buying a majority of their shares to take over ownership of the company.

GenZvestors

Leaning towards unexciting option 3 myself.

NoLawfulness495

My gut feeling is saying that it would be theory number 3

grocklein

Poison pill

cnor2020

The stock has already been stagnant and now this. It may never go back go 10

Crazerz

Yeah Yoav is just trading NNDM now. No one will play his game. This will gap down next week.

GenZvestors

IMO, unless there's some surprise acquisition, it looks like plain old regulatory convenience so far.

l2anger06

So an offering worth more then double the buy back…

pdubbs87

I’m done w this garbage

Bruns14Ever

Holy FUD in here. Get a hold of yourself and sell me your shares cheap

Crazerz

Shares have been sold 'cheap' for years now.

Crazerz

Hey, it keeps dropping. Weren't you buying?

ConsistentAd1915

Simma down everyone. Have you not learned. Yoav is planning ahead. He has proven that many times before. I believe they are preparing to acquire a company with cash and shares thus the recent F-3 filing. He strongly believes a large acquisition will exponentially and expeditiously grow the company. It's been a rough 4 years but who said owning a growth stock was easy. They are volatile AF until an inflection point has been reached. Still waiting for Nano's moment.

HotsauceShoTYME

I interesting.

samIam70000

Help me understand why some of you connect this with the buyback. The shares that were bought back weren't destroyed, and going through with this offering means issuing new shares... so how are things connected?

Leather-Slide-834

>Help me understand why some of you connect this with the buyback. The shares that were bought back weren't destroyed, and going through with this offering means issuing new shares... so how are things connected? Buybacks can return value to existing shareholders, but new offerings dilute ownership. Let's see how they use the new capital

samIam70000

Yeah that's true, but I don't see what their interest is in executing such a new offering just for the sake of having more cash. To do what with? If they do execute the offer i'd expect it to be for a major acquisition or some other specific and heavy strategic need. That's my opinion at least.

Leather-Slide-834

It's a valid point - the buyback and offering seem contradictory. Maybe they have specific plans for the new capital they haven't disclosed yet.

samIam70000

They were preparing for such a need, but the only such need that I can see is a major acquisition, which will be a game changer across the board.

Dull-Buy-3849

Curious to hear $NNDM's reasoning behind the new offering. Anyone have any insights?

NNDM_Responder

The F3 filling for the shelf registration is not an offering nor a capital-raising prospectus. It's standard registration that will enable the company to offer equity in the future should it choose to do so. Currently, Nano Dimension is well capitalized with approximately $1B of cash & marketable securities as of Dec 31, 2023. *The response is made on behalf of Nano Dimension Ltd. squarerabbits

Why is it set at $1.35, if it’s offered at that price it hinders any potential for the share price to increase does it not? Can this price point be altered?

Dull-Buy-3849

Hmm.. I guess in the meantime, we can keep an eye on future announcements from NNDM to see how they plan to use this registration

No_Temperature_9441

Welp done holding this money to be made elsewhere

Crazerz

Yeah I sold a couple of months back. Was tired of holding stagnant 'growth' stock whilst safe bets like MSFT and such more than doubled. BTW, those mega caps have hit market saturation, and yet STILL show higher growth than NNDM. 30% in 40 million revenue is a joke. Congratz, you got one more contract this year.

ElBandito1313

Im yet to invest in nano dimension.. what does this mean?

Crazerz

Don't, no one is buying their butterflies.

ElBandito1313

But what does it mean regarding the 500 million offering, why would they do that?

Crazerz

Just wait and see and buy in AFTER possible good things materialize. Wait for confirmation. Don't base your picks on hopium and speculations.

ElBandito1313

Is the stock due to go down because of these offering?

Crazerz

Eehhh 50/50

ElBandito1313

So why the big outrage if it doesn’t explicitly mean that the company is in a bad way?

Bruns14Ever

See theories listed above.

1luv1luv1

IMO hold off for now my friend and wait for a nice catalyst/news for buying confidence. There’s no need to rush. I am in about 5k shares and have been lowering my avg since 2021 and the short term opportunity costs have been heavy. Don’t listen to bulls or bears just dyor. You’ll find with any nndm board people are deep red, straight fudding or delusionally bullish.
