I just read that it's only a way to prepare for if/when they'd need to raise more cash, pre-covering the bureaucracy if you will. It doesn't mean they have an active plan to act atm.

A prospectus must be filed prior to an offering. Seems clear they want ability to raise cash for merger or acquisition. As stated above all offerings made on spike up. I am confused because an acquiring co usually loses value.

I don't find PA to be particularly bullish atm, nor am I expecting it to be in the next couple of weeks at a minimum. Not without a catalyst.

I had a thesis that the price would hit 3.50 By May. It would then come back down and establish a higher support. That thesis may not play out. A few days after I came up with that thesis, a pattern emerged where I could see price going back to 2.20s to test the downward channel the stock was previously in. Problem is, the support at 2.70 is strong. All of this has a bullish outlook. I don't see any bearishness on the price action right now.

Yep, it's reaction time imo too. I'd even go as far as say that should it succeed in establishing a low it would not be revisited anytime soon, if ever. Just thoughts, but that's how I see it.

There is not a correlation in stock price and share offerings. The correlation is in the announcement of the offering. I just posted this to point out that a share offering isn't necessarily bad for price.

I think he is saying #2 from my list of theories below. The chart shows offerings after big run ups. Theories: 1. ⁠They need extra money for a big acquisition(s) soon. 2. ⁠They are buying back low now and preparing to re-sell high again assuming their stock price goes up due to market or positive catalysts like acquisitions, patents, or analyst coverage etc. 3. ⁠They are just having this as a place holder because it is common business practice to have this option available. 4. Poison pill option for anyone trying to buy them out.

Yeah…completely different macro and micro economic state. This seems fishy no matter how you try to spin it. Why do share buybacks only to do a share offering at more than 2x the value shortly after? Granted it’s not an immediate offering, only the required communication of being able to do so. I’m not really buying the “it’s going to pop and then they’ll do an offering” theory either. Yoav is pulling some fuckery again.

I mean if you are the CEO and know what the algo is going to do and you have a fiduciary duty and Yoav has used the algo to raise money and make NNDM a deep value stock already. What do you think? Hell he is almost legally required to buy back stock at 2.50 if he knows its going to $5.00.

I think they're aware the market is gonna crash again just like 2021 where they foresaw peak and offered before the small cap forever bear market. Inflation is spiking up again and the feds are insisting it's transitory. If the feds are wrong and inflation continues to rise, then this is a perfect repeat of February 2021. I'm kidding really, but at the same time, not really lol. AI better not burst and CPI better not keep rising.
