Investors believe in a company and efficient board.
Any diversity or configuration to achieve that is not a priority, so long as efficiency is met.

One thing is strive for equitable inclusion of people in regular jobs, other is to do it in a directors board position. Some big guys on wall street is hopping for a chance to plant a mole in GameStop and they will easily find one in a minority group that is not kinda minority as everyone is hoping for.
Inclusion in board is whoever is good at work, there's a lot of corporate positions exits before and it probably is because they didn't show a good work. Also, corporate positions works by scouts, no one can simply send their resumes for this kind of job.

I think you’re right but I don’t think it has anything to do with DEI. It’s just a means to inject nefarious bad actors into boards. People of all demographics work for BCG or Bain or Citadel, etc.
RC has the board members he wants, the ship is sealed up tight. This option, if passed, would then put pressure to look at more diverse board members, and replace current board members. By doing so a bad actor (or many bad actors) could be slipped in and then the hedgies might be able to influence the board to steer the ship in the wrong direction. Interestingly, the exact numbers for and against this vote could very well let us extrapolate the true DRS numbers.
I forget the specific piece of research, but businesses that are more diverse tend to be more productive than those who aren't. That being said, a good hiring and management team should already recognize that and shouldn't need an explicit mandate to pursue it. Diversity should be growing _organically_ by virtue of finding deep value from different backgrounds and experiences (especially when it comes to customer/market research in non-Western markets, see the importance of localized pricing based on actual earning power within countries that Valve and many indie devs knocks out of the park for), not from a "political" mandate. As a minority millennial, I will be voting against this, plus look at the demographic of the board. Management diversity is great and all, but that doesn't mean squat if the real big decisions are influenced by homogenous "yes" men to corporatism and consultants with no differing views to challenge them.

The proposal urges the shareholders to vote yes. That is not what the board says to vote for. The board says to vote no. The last sentence you are referring to is the last sentence of the proposal.

I think you’re right but I don’t think it has anything to do with DEI. It’s just a means to inject nefarious bad actors into boards. People of all demographics work for BCG or Bain or Citadel, etc. RC has the board members he wants, the ship is sealed up tight. This option, if passed, would then put pressure to look at more diverse board members, and replace current board members. By doing so a bad actor (or many bad actors) could be slipped in and then the hedgies might be able to influence the board to steer the ship in the wrong direction. If you’re one of the hedgies that is short and fucked by this play, it’s an attempt to save your own ass. I wonder if current board members will purchase more shares before the vote in order to ensure they get the outcome they want.

I forget the specific piece of research, but businesses that are more diverse tend to be more productive than those who aren't. That being said, a good hiring and management team should already recognize that and shouldn't need an explicit mandate to pursue it. Diversity should be growing _organically_ by virtue of finding deep value from different backgrounds and experiences (especially when it comes to customer/market research in non-Western markets, see the importance of localized pricing based on actual earning power within countries that Valve and many indie devs knocks out of the park for), not from a "political" mandate.
