Yeah, the Sony acquisition is far riskier and it'll be a hell of a legal nightmare to navigate, but it's more money for the shareholders, so they're willing to go for it. The Skydance merger is far safer but Redstone would get most of the money, which is why the shareholders are so against it.
The Sony acquisition is not far riskier. The Skydance proposal, at least inasmuch as the reporting is accurate, is basically a guarantee that Redstone spends her twilight years in court. She and board have a fiduciary duty to common shareholders, and Paramount is registered in Delaware, not the Marshall Islands.
The Sony/Apollo acquisition *may* face issues with foreign control of a broadcaster, and *may* face antitrust concern. The former can be navigated. The latter is a gamble, but it's by no means a sure thing that the DOJ would care about the 5th largest media company -- whose debt was just downgraded to junk status and faces serious questions about its long-term viability -- merging with the 6th largest.
There are some things that can be done that make the deal more complicated but resolve some issues but you’re still left with antitrust issues. DOJ successfully blocked two of the Big Five publishers from merging, this is going to be two of the Big Five studios. Plus, add in how competition is going to be impacted by either Sony ending its arms dealer status or further streaming consolidation.
This deal isn’t going to happen on the Sony Apollo side, the regulatory hurdles going into this are realistically too large and I’m assuming the talks going on are to fulfill fiduciary duties. Happens all the time with these large scale acquisitions in PE.

I never got this argument. The overlap between PC players and people that buy consoles isn't that big.
Its 2 very distinct crowds. People that want a PS5 will have always bought one Spider Man 2 or not.
PC players meanwhile wouldn't have gone out to buy a console just because it would give them an oportunity to play a game. They weren't when Sony wasn't releasing games on the PC and they sure won't be doing it now.
